1. Introduction
These Terms & Conditions are between Fela Awolaja-Edwards, trading as Monoscope ("Monoscope", "we", "us") and you (the "Merchant"), the business or individual purchasing the Monoscope service.
By using the Monoscope service, you agree to these Terms & Conditions. If you do not agree, do not use the service.
2. Monoscope Bundle Terms
- £39.99/month subscription with a 30-day free trial on the Monoscope subscription
- Cancellation: 30 days notice; no charges within the trial period
- Service scope: Website hosting, an AI receptionist, messaging control, and Dojo integration
- Customer responsibilities: Call forwarding setup, menu data provision, broadband/Wi-Fi for Dojo terminal
- SLA: 99.5% uptime for AI receptionist (excludes local internet outages)
- Support: Email response within 4 hours; phone support available 9am–6pm GMT
- Data residency: Personal data is processed within the United Kingdom
3. Dojo and Card Payments
- Monoscope works with Dojo and can integrate Dojo card payment services into your setup
- Dojo and Monoscope are separate businesses. There is no partnership, agency or joint venture between them, and Monoscope does not represent that Dojo endorses or is affiliated with Monoscope's services
- Monoscope may receive commission or other benefit from Dojo where you enter into a Dojo agreement
- Dojo agreement: A direct contract between you and Dojo (a trading name of Paymentsense Limited). Monoscope is not a party to it
- Dojo rates: 1.2% blended transaction rate on all card transactions (below £100k annual card turnover); 3.0p secure transaction fee per transaction (subject to business profile and card mix)
- Rate adjustability: Lower rates available via merchant invoice submission at Dojo's discretion
- Dojo cancellation: 30-day right to cancel with no charges
- Dojo hardware: paid by the merchant, either purchase at full price (Go Max £149, Pocket £239, Wired £179) and return within 30 days for a full refund, or pay the monthly hardware rental (Go Max £25/mo, Pocket £20/mo, Wired £15/mo). Monthly rental fees are billed from day 1 and are not refunded under the trial terms.
- 30-day fee freeze: If cancelled within 30 days, Dojo service fees (MMSC, transaction rates, secure transaction fee) are frozen at £0. Hardware rental is not covered by the fee freeze.
- No 30-day free trial on Dojo terminal service fees or Hardware Care. These are billed from day 1.
4. Intellectual Property and Ownership
- Your domain: If you use your own domain name with Monoscope, you retain full ownership. Upon termination you can direct the domain to another provider.
- Website code and design: During the service, Monoscope grants you a non-exclusive licence to use the website and its design. You may request a copy of the website and its source code at any time while you are a customer, including during the free trial. Monoscope will give reasonable assistance within 30 days and may charge a transfer fee for the migration work.
- Your domain and hosting: The domain name is registered for you and its cost is yours. On request, and in any event when your service ends, control of the domain and of any Cloudflare account, DNS zone or hosting configuration set up for you is transferred to you within 30 days.
- Monoscope IP: Monoscope retains ownership of proprietary code, including the AI receptionist integration, the Telegram bot, and any custom software modules.
- Your business data: You retain full ownership of all business data (menus, pricing, customer lists). Monoscope does not claim any ownership over your data.
5. Liability Limitation
Monoscope's total liability to you for all claims arising under or in connection with these Terms & Conditions is limited to 12 months of subscription fees paid by you.
Monoscope shall not be liable for:
- AI receptionist errors: Misheard orders, missed bookings, or incorrect information relayed to you, provided the AI has used reasonable efforts to interpret caller requests
- Allergy/order mistakes: Errors in dietary requirements, orders, or bookings, where you are responsible for verifying details with callers directly
- Third-party services: Disruptions or failures of Dojo, Telegram, or other third-party services
- Local internet outages: Service interruptions caused by your broadband or network failures
- Lost business: Indirect or consequential losses, including lost profits, revenue, or business opportunities
Nothing in these exclusions limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.
6. Suspension and Termination
- Suspension for non-payment: If you fail to pay any fees when due, Monoscope may suspend the service with immediate effect and re-activate it upon receipt of full payment plus any applicable late fees.
- Termination for breach:Monoscope may terminate these Terms & Conditions immediately if you commit a material breach (for example using the service for illegal purposes), fail to remedy a non-material breach after 14 days written notice, or provide false or misleading information during signup.
- Your right to cancel:You may cancel these Terms & Conditions at any time with 30 days written notice to [email protected].
7. Confidentiality
- Your obligations:You agree to keep confidential all information about Monoscope's operations, pricing, software, and methodologies, and not disclose it to third parties without prior written consent.
- Monoscope's obligations: Monoscope agrees to keep confidential all business data you provide, including menus, pricing, and customer lists, and will not disclose it to third parties except as required by law, to sub-processors with your prior consent, or to protect our rights.
8. Dispute Resolution
- If you have a complaint, contact us in writing at [email protected].
- We will acknowledge your complaint within 5 working days.
- We will provide a substantive response within 20 working days.
- If your complaint is not resolved, you may refer the matter to alternative dispute resolution via the UK's Small Claims track or mediation services.
9. Governing Law and Jurisdiction
These Terms & Conditions are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any disputes arising from these Terms & Conditions.
10. Consumer Cancellation Rights
If you are a consumer (a sole trader or individual rather than a registered company), the Consumer Contracts Regulations 2013 give you the right to cancel this contract within 14 days of entering into it, without giving any reason.
To exercise this right, inform us by email at [email protected]. If you cancel within the 14-day period, we will refund any fees paid within 14 days of cancellation.
For businesses, cancellation terms in Section 2 and Section 6 apply.
11. Force Majeure
Monoscope shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government actions, embargoes, restrictions, strikes, lockouts, labour disputes, or internet and telecommunications failures beyond our direct control.
12. Price Changes
Monoscope may increase the subscription price with 30 days written notice. You may cancel within the notice period without penalty. Price reductions may be applied immediately without notice.
13. VAT
Prices quoted are exclusive of VAT where applicable. VAT will be charged at the prevailing rate and added to invoices where required by law.
14. Entire Agreement and Variation
These Terms & Conditions, together with any expressly referenced documents, constitute the entire agreement between you and Monoscope and supersede all prior agreements, understandings, and representations.
Monoscope may vary these Terms & Conditions with 30 days written notice. Continued use of the service after notice constitutes acceptance of the varied terms.
